These Terms of Service ("Terms") govern use of the Habitaly website (habitalyafrica.com) and the AI voice receptionist and WhatsApp agent services provided by Afrocentric Industries Ltd ("Habitaly", "we", "us"). By using our website, demo, or services, you agree to these Terms.
1. The service
Habitaly provides AI-powered voice receptionist agents and WhatsApp messaging agents for service businesses. The agent answers calls or messages on behalf of a client business, has a conversation, can book appointments, and passes details to the business.
2. Who these terms apply to
- Clients: businesses who have signed up for a Habitaly plan. Your specific setup fee, monthly fee, and service scope are set out in your order confirmation or agreement, and take precedence over any conflicting term here.
- Website visitors: anyone browsing habitalyafrica.com or trying the demo agent.
- End customers: people who call or message one of our clients' businesses and are answered by a Habitaly agent. Your call or message is being handled on behalf of that business, not Habitaly directly.
3. Client obligations
If you are a client, you agree to:
- Provide accurate information about your business for the agent to use
- Only use the service for lawful business purposes
- Pay setup and monthly fees on the agreed schedule
- Not use the service to mislead callers about who or what they are speaking to, beyond the AI-agent disclosure already built into the service
4. Fees and billing
- Setup fees are due before agent configuration and go-live
- Monthly fees are billed on the agreed billing date and cover included call/message volume as set out in your plan
- Fees are non-refundable once the agent has gone live, except as required by law or separately agreed in writing
- We may suspend service for non-payment after reasonable notice
5. Service availability
We aim for high uptime but do not guarantee the service will be uninterrupted or error-free. The AI agent may occasionally misunderstand a caller or provide an imperfect response; clients should review agent performance periodically and report issues.
6. AI-generated responses
Responses from the agent are generated by an AI model and may not always be accurate. Habitaly is not liable for decisions made based on agent responses, though we work to correct configuration issues promptly when reported.
7. Data and privacy
Use of the service is also governed by our Privacy Policy, which explains what data is collected and how it's used.
8. Intellectual property
The Habitaly website, agent configuration tooling, and underlying software remain the property of Afrocentric Industries Ltd. Clients receive a right to use the service, not ownership of the underlying technology.
9. Termination
Either party may terminate a client agreement with 30 days' written notice. We may suspend or terminate service immediately for material breach, non-payment, or unlawful use.
10. Limitation of liability
To the extent permitted by law, Habitaly's total liability for any claim arising from the service is limited to the fees paid by the client in the 6 months preceding the claim. We are not liable for indirect or consequential losses, including lost business or lost calls.
11. Changes to these terms
We may update these Terms from time to time. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of Kenya, without prejudice to any mandatory consumer or data protection rights that apply to clients or end customers based in the UK.
